Terms of Service

Please read these Terms of Service ("Terms") carefully before accessing or using the RestoDash OS and Maya AI ecosystem provided by AIMX Software ("Company", "we", "us", or "our"). By engaging our services, you ("Client", "Restaurant") agree to be bound by these enterprise B2B terms.
1. Provision of Software as a Service (SaaS)
AIMX Software is a technology company providing an autonomous operating system for high-volume restaurants. We grant the Client a non-exclusive, non-transferable license to access RestoDash OS and Maya AI. We are not an agency; we provide the technological infrastructure to automate your Front-of-House operations.
2. Financial Terms & Fixed Subscriptions
- Zero Per-Cover Fees: AIMX Software charges a predictable, fixed monthly SaaS subscription. We do not charge commissions or penalties based on the number of guests seated.
- Implementation Fee: A one-time "Implementation & AI Training Fee" is required to cover the deployment, vector database ingestion, and structural setup of the RestoDash OS environment. This fee is strictly non-refundable once the technical setup process has commenced.
- Subscription Billing: Monthly or annual SaaS subscriptions are billed automatically.
3. External Costs & Twilio Usage (Pay-As-You-Go)
- Strictly Separate Billing: The AIMX Software monthly subscription covers the software license only. It does not cover telecommunications traffic.
- Twilio Integration: All voice calls, SMS confirmations, reminders, and automated Google Review requests are routed through Twilio. The Client is responsible for 100% of these consumption costs. Twilio usage is billed dynamically on a pay-as-you-go basis at cost, directly through the Client's dedicated API sub-account linked to their own payment method. AIMX Software does not mark up these fees.
4. Account Suspension & The "Kill Switch"
AIMX Software reserves the right to immediately suspend, restrict, or terminate access to the RestoDash OS dashboard and Maya AI routing (via our Master Admin Kill Switch) in the event of:
- Failure to pay the monthly SaaS subscription fees within the specified grace period.
- Violation of these Terms, including unauthorized attempts to bypass our Manager Override security protocols or reverse-engineer our proprietary AI Intelligence Core (AIC).
5. Uptime & Liability
While AIMX Software leverages dedicated DigitalOcean infrastructure to ensure maximum stability and bypass traditional CRM rate limits, the service is provided "as is". We strive for 99.9% uptime but do not guarantee uninterrupted service in the event of third-party outages (e.g., Twilio carrier drops or global server network failures). AIMX Software shall not be held liable for lost revenue, missed reservations, or operational disruptions arising from external dependencies.
6. Contract Cancellation
The Client may cancel their SaaS subscription at any time with a 30-day written notice. Upon cancellation, the Client will retain full access to export their guest data. No pro-rated refunds will be issued for partially used billing cycles.
